Terms of Use

1. Introduction

These Terms of Use ("Terms") govern your access to and use of Roovideo (the "Service"), a product of Meraki Designs F.Z.E., a company established in the United Arab Emirates ("Meraki Designs," "we," "us," or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

The Service allows users to upload photographs and generate AI-created video content from them, for use in social media marketing, advertising, and related purposes.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. The Service is intended for business, professional, and creative use by individuals and organizations creating video content for social media and digital marketing, and by creating an account you represent that you are using the Service for such purposes.

3. Accounts

3.1 Registration. You must provide accurate, current, and complete information when creating an account, and keep that information up to date.

3.2 Account security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

3.3 Team accounts. Accounts may support multiple users under different roles (e.g., owner, team member). The account owner is responsible for the conduct of all users they invite to their account and for ensuring those users comply with these Terms.

4. Subscription Plans, Credits, and Billing

4.1 Plans. The Service is offered on a subscription basis with multiple tiers (including a free tier), each providing a set number of video-generation credits per billing cycle, described on our pricing page.

4.2 Credits. Each generated video consumes a set number of credits, as described on our pricing page. Credits included in your plan reset each billing cycle and do not roll over to the next cycle. Additional credit packs may be purchased separately; purchased add-on credits expire 30 days from the date of purchase.

4.3 Billing.Paid subscriptions are billed in advance on a recurring basis through our payment processor, Stripe, Inc. ("Stripe"). By subscribing to a paid plan, you authorize us to charge your payment method on file on a recurring basis until you cancel.

4.4 Cancellation and downgrades.You may cancel or downgrade your subscription at any time. Cancellation takes effect at the end of your current billing period; you will retain access to your plan's features, including any remaining credits in an active batch, until that batch's natural expiry. We do not provide prorated refunds for partial billing periods except where required by applicable law.

4.5 Price changes. We may change our pricing from time to time. We will provide reasonable advance notice of any price increase affecting your active subscription.

4.6 Watermarks. Videos generated through the Service do not include a Roovideo watermark.

5. Your Content

5.1 Ownership.You retain all ownership rights in the photographs and other content you upload to the Service ("Your Content"). We do not claim ownership of Your Content.

5.2 License to us. By uploading Your Content, you grant Meraki Designs a limited, non-exclusive, worldwide, royalty-free license to host, store, process, and transmit Your Content solely as necessary to provide the Service to you — including sending Your Content to third-party AI processing providers as described in our Privacy Policy.

5.3 Your responsibilities.You represent and warrant that you own or have the necessary rights to upload and use Your Content, and that Your Content does not infringe any third party's intellectual property, privacy, or other rights, and complies with applicable law.

5.4 Deletion. You may delete individual photographs or all of your uploaded photographs at any time. Deletion removes the content from active use but may not be instantaneous across all backup or cached systems.

6. AI-Generated Content

6.1 Nature of the output. Videos generated by the Service are created using third-party artificial intelligence models. We instruct these systems to keep everything realistic, matching your reference photos exactly with no changes to their appearance, structure, or details — but AI-generated video may occasionally include inaccuracies, artifacts, or elements not present in the original photograph despite that instruction.

6.2 Your responsibility to review. You are solely responsible for reviewing generated videos before using them in any marketing, listing, or public-facing material, and for ensuring that any such use accurately represents the subject of the video. Meraki Designs is not responsible for any consequence arising from your use of a generated video without adequate review, including claims of misrepresentation in marketing or promotional use.

6.3 No guarantee of output. We do not guarantee that any specific generation will meet your expectations, and generation may occasionally fail; in such cases, credits consumed for a failed generation will be refunded to your account in accordance with our standard processing rules.

7. Acceptable Use

You agree not to use the Service to:

• Upload photographs you do not have the right to use or represent;
• Upload content that is unlawful, infringing, defamatory, obscene, or that violates any third party's rights;
• Attempt to circumvent credit limits, security measures, or usage restrictions of the Service;
• Reverse-engineer, decompile, or attempt to extract the underlying models or source code of the Service or the third-party AI systems it relies on;
• Use the Service to build a competing product;
• Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to suspend or terminate accounts that violate this section.

8. Third-Party Services

The Service relies on third-party providers, including but not limited to Stripe (payments), Cloudflare (file storage), and third-party AI providers (image and video processing). Your use of the Service is also subject to those providers' applicable terms to the extent they interact with your data, as described further in our Privacy Policy. We are not responsible for the acts or omissions of these third parties, though we select and monitor them with reasonable care.

9. Intellectual Property

Other than Your Content, all rights, title, and interest in and to the Service, including its software, design, and Roovideo branding, are owned by Meraki Designs F.Z.E. or its licensors. Nothing in these Terms grants you any right to use our trademarks or branding without prior written consent.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT GENERATED VIDEO CONTENT WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MERAKI DESIGNS F.Z.E. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Meraki Designs F.Z.E., its officers, employees, and affiliates from any claim, loss, or damage, including reasonable legal fees, arising from your use of the Service, Your Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at our discretion, including for violation of these Terms, non-payment, or suspected fraudulent or abusive activity. You may terminate your account at any time by contacting us or through your account settings. Upon termination, your right to use the Service ceases, though certain provisions of these Terms (including Sections 9–12) will survive.

14. Changes to These Terms

We may update these Terms from time to time. We will provide notice of material changes (such as by email or in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the United Arab Emirates. Meraki Designs F.Z.E. is licensed under the Ajman Free Zone. Unlike financial free zones such as the DIFC or ADGM, the Ajman Free Zone does not operate its own separate court system — matters are subject to the UAE's onshore Federal Judiciary. Accordingly, any dispute arising from or relating to these Terms that cannot be resolved informally shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.
